You agree not to use, reproduce, or distribute any such content without our express written permission.

  12. Confidentiality You acknowledge that the Services include trade secrets, know-how, and proprietary information that are confidential to EnterpriseOne ERP. You agree to keep such information confidential and not to disclose it to any third party without our prior written consent.

  13. Termination We reserve the right to terminate or suspend your access to the Services, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason in our sole discretion.

Limitation of Liability To the maximum extent permitted by law, EnterpriseOne ERP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangibles, resulting from the use or inability to use the Services.

Indemnification You agree to indemnify, defend, and hold harmless EnterpriseOne ERP, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from your use of the Services or your violation of these Terms.

  16. Governing Law These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New York.
